Clipper Terms (Independent Clipper Terms)
1. About these terms
These Clipper Terms apply when you take part in ClipMissions as a Clipper. They are an agreement between you and [Registered legal name], which operates ClipMissions ("we" or "us"). They add to our Terms of Use, which also apply to you, and they include our Content and Disclosure Guidelines and Fair Play and Anti-Fraud Policy.
ClipMissions has not launched. There are no live Missions and no payouts today. These terms describe how taking part will work once Missions open. Joining the waitlist does not engage you or promise you any work.
Each time you accept a Mission, we engage you for that Mission on these terms and on the Mission Brief. The Mission Brief can add rules for that Mission, such as dates, caps, approved claims and audio. It cannot reduce the rights these terms give you.
2. Definitions
Words with capital letters have the meanings in section 4 of the Terms of Use. In addition:
- Clip: the short video you make for a Mission and post on your own account.
- Your Accounts: the Instagram, YouTube and X accounts you have declared to us and we have verified.
- View Window: the period after you post a Clip during which its views can count. It is set in the Mission Brief, and if not set, it is [default view window].
- Minimum Live Period: the period for which you must keep an approved Clip public and unchanged. It is set in the Mission Brief, and if not set, it is [default minimum live period].
- Mission Rate: the rate per 1,000 Verified Views shown in the Mission Brief when you accept the Mission.
- Payout Threshold: the minimum approved balance before we send a payout, which is [minimum payout threshold].
3. You are an independent contractor
You take part in ClipMissions as an independent contractor running your own creative work.
- You decide whether to accept a Mission, when and how you work, and what tools and equipment you use. There are no minimum hours, targets or shifts.
- You are free to work for anyone else, including other clipping services and brands, at the same time.
- Nothing in these terms makes you our employee, worker under a contract of employment, agent, partner or joint venturer, or an employee or agent of any Brand.
- You have no authority to make promises or enter into contracts for us or for any Brand, and you must not say that you do.
- You are not entitled to salary, leave, provident fund, gratuity or other employee benefits from us. Section 22 explains how we will meet any duties the law places on us for platform workers.
- You are responsible for your own costs, internet, devices, software and any licences you choose to buy.
4. Eligibility and your accounts
Who can be a Clipper
- You must be at least 18 years old. We may ask you to confirm your age, and we will close the access of anyone under 18.
- At launch, you must be resident in India, hold a valid PAN and have a bank account in India in your own name that is linked to a UPI ID in your own name. If you are not resident in India for tax purposes, tell us before accepting a Mission, because different rules apply and we may not yet be able to engage you.
- You may hold only one ClipMissions account.
Your social media accounts
- You may submit Clips only from accounts you personally own and control. You must not use accounts that are borrowed, bought, rented, shared or run by someone else, or pages you manage for another person or business.
- Declare every account you want to use. We may verify control, for example by asking you to place a short code in your bio for a while or to connect the account through the platform's official login.
- Your accounts must be in good standing with the platform, and must be able to use the platform's branded content or paid promotion disclosure tools. On Instagram this usually means a professional account.
- Tell us promptly if an account is suspended, restricted or changes owner.
5. Picking a Mission
- Read the Mission Brief fully before you start. Accepting a Mission means you agree to its brief.
- Each Mission has a limited budget. Budget is used up as Verified Views are counted across all Clippers in the Mission, so it works on a first-come basis. A Mission does not reserve budget for you unless its brief says so.
- We will show the status of each Mission's budget as accurately as we can, warn participating Clippers when it is running low and tell them when it closes. The status can change quickly, and you start work knowing that a Mission may close before your Clip earns anything.
- If a Mission closes after you submit but before we finish reviewing your Submission: [budget-close rule for pending submissions].
- Submissions made after a Mission closes are not paid.
- You may drop out of a Mission at any time before you post. Once you post and submit a Clip, the rules on the Minimum Live Period in section 10 apply.
6. Making your Clip
- Your own original edit. Each Clip must be your own creative edit made from the Mission footage. Choosing the moment, cutting, reframing, captioning, adding a hook, titles, graphics or your own commentary are what make a Clip yours. A plain re-upload of the footage, or a Clip copied from another Clipper or creator, is not acceptable. The originality standards explain this in detail.
- Use the Mission materials. Use only footage, audio and graphics supplied in the Mission, plus your own original elements, unless the brief allows other sources. Do not add other people's videos, images, music or trade marks.
- Follow the brief. Respect its rules on platforms, language, length, topics, people or scenes to avoid, approved claims, tags and timing.
- Approved claims only. In captions, titles, voiceovers and on-screen text, make only the claims the brief approves. Do not add your own claims about price, results, health, money or performance. If a claim in the brief looks wrong or unsafe, do not post it, and tell us.
- Honest framing. Do not say or suggest that you personally used or experienced a product unless that is true. Do not use misleading thumbnails, titles or captions.
- Embargo. If the brief sets a date before which nothing may be posted, for example for an unreleased song or film, respect it exactly.
7. Disclosure: the exact steps
Every Clip you post for a Mission is a paid advertisement, and your viewers must be able to tell that immediately. Indian consumer law, the CCPA's endorsement guidance and the ASCI guidelines for influencer advertising all require this. For every Clip, do all of the following.
- Turn on the platform's disclosure setting. On Instagram, use the "Paid partnership" label in the branded content settings and tag the brand partner if the brief asks. On YouTube, tick the paid promotion box when uploading, so the Short shows the "Includes paid promotion" label. On X, use the paid partnership or content disclosure setting where X makes it available to your account. Menus change, so follow the platform's current help pages.
- Put a label at the very start of the caption or post text. Use a clear word such as "Ad", "Advertisement", "Sponsored", "Paid partnership" or "Collab", or the hashtag #ad, #sponsored or #collab, before anything else, not hidden among other hashtags or behind "more".
- Put a label on the video itself. Add on-screen text such as "Ad" or "Paid partnership" from the first second, in a size and colour that is easy to read on a phone and is not covered by the platform's buttons or captions. Keep it on screen for at least the time shown in the table below. If you are unsure, keep it on for the whole Clip.
- Say it if your voice is in the Clip. If you add your own voiceover or speak in the Clip, say early on that it is a paid partnership or an ad. If your voice is not in the Clip, a spoken mention is still recommended.
- Use the same language. Disclose in the language of the Clip. For a Clip in a regional language, add the label in that language as well as in English.
- Keep it there. Never edit the caption, remove the label or turn off the platform setting after posting.
| Length of your Clip | Minimum time the on-screen label must be visible |
|---|---|
| 15 seconds or less | At least 3 seconds, starting from the first second |
| More than 15 seconds and up to 2 minutes | At least one third of the Clip's length, starting from the first second |
| More than 2 minutes | Throughout every part where the brand, its product or its features appear |
These minimums follow the current ASCI guidance as we understand it. If the platform, a regulator or the Mission Brief sets a stricter rule, follow the stricter rule. Views gained before a missing disclosure was fixed do not count as Verified Views.
8. Music and audio
- Use only audio supplied in the Mission, your own voice, or audio you hold a licence to use in commercial and branded content.
- The general music libraries inside Instagram, YouTube and X are often licensed only for personal, non-commercial use, and many tracks cannot be used in branded or paid partnership content. Do not add trending songs or sounds from these libraries unless the Mission Brief says the audio is cleared for this use and the platform allows it for branded content.
- Never rip music or audio from other videos, streaming services or the internet.
- Sound effects and background music must come from a source that licenses them for commercial use, and you must be able to show the licence if asked.
- If your Clip is muted, blocked or removed because of audio you chose that was not supplied or licensed, its views may not count, and you may be responsible for any claim that follows.
9. AI tools and synthetic content
You may use AI and automated tools to help you work, for example for captions, subtitles, translation, noise clean-up, upscaling, reframing or suggesting cut points, as long as you review the result and the Clip still meets our originality standards.
- No deepfakes. You must not create or alter any person's face, body, voice or likeness with AI, make a real person appear to say or do something they did not say or do, or create realistic footage of events that did not happen.
- Label realistic AI content. If your Clip contains AI-generated or AI-altered material that a viewer could mistake for real, label it clearly on screen and use the platform's own AI or altered content label. Since February 2026, Indian law requires platforms to label synthetically generated content and large platforms to ask users to declare it at upload. Always answer those declarations truthfully.
- Mission rules. A Mission Brief may restrict or ban AI tools. Follow it.
More detail is in the AI and synthetic content rules.
10. Posting and the Minimum Live Period
- Post each Clip publicly on one of Your Accounts, on a platform the Mission allows, within the dates in the brief.
- Keep an approved Clip public, unchanged and with its disclosures intact for the whole Minimum Live Period. Do not delete, archive, hide, make private, restrict or re-upload it during that time.
- You may correct a Clip during the Minimum Live Period only with our approval, or when we or the Brand ask you to for a legal, safety or factual reason.
- If a Clip is removed during the Minimum Live Period because we or the Brand asked, or because the platform removed it for a reason that was not your fault, you are paid for Verified Views counted up to the removal.
- If you remove a Clip early yourself without a good reason, that Submission may be treated as ineligible, and we may withhold its Clipper Fee.
- After the Minimum Live Period ends, you may keep the Clip up or take it down, unless the Brand has asked for it to be removed. If the Brand asks for a takedown after the Mission Term and the Minimum Live Period, remove the Clip within [takedown response period] of our request.
11. Submitting and review
- Submit the public link to your Clip through the Services within the time the brief allows.
- When we ask, give us proof of performance from the platform, such as screenshots or a screen recording of the post's insights showing views, audience location, traffic sources and dates. The proof must be genuine and unedited. Crop out anything that is not needed, such as private messages or other people's details.
- We review each Submission for originality, disclosure, compliance with the brief, compliance with the law and platform rules, and the authenticity of its views.
- After review, we will approve the Submission, ask you to fix something, or reject it. If we reject it, we will tell you the reason. You can challenge a decision using the appeal route.
- Where a problem can be fixed, such as a missing caption label, we will usually give you a chance to fix it rather than reject the Submission. Views gained before the fix may not count.
12. How Verified Views are counted
Only Verified Views of approved Submissions are paid. The rules below apply unless the Mission Brief sets different ones.
| Counts as a Verified View | Does not count |
|---|---|
| Views of your approved Clip, on the post you submitted, within the View Window | Views after the View Window ends |
| Views measured by the metric the Mission names for that platform, or if none, by [default view metric per platform] | Views on re-uploads, duplicates, reposts or other posts of the same Clip |
| Views that pass our checks and are supported by platform data or your insights proof | Views from bots, bought views, view exchanges, engagement pods or other artificial traffic |
| Views from the audience the Mission targets, where the Mission sets audience rules | Views from paid boosts or ads, unless the Mission allows boosting |
| Views up to any caps the Mission sets per Clip or per Clipper | Views gained while the Clip lacked a required disclosure |
| Views counted before the Mission budget was used up | Views after the Mission budget was used up |
- Platforms define and count views in different ways, and they sometimes change their methods. We use the metric stated in the Mission, and we will tell you before a Mission starts if we have to change it.
- We record view counts at intervals during the View Window. If a platform later lowers a count, for example after removing invalid views, we use the lower figure.
- Where a Mission sets audience rules, such as a target country, we may adjust the counted views using the audience data in your insights proof.
- If you refuse to provide proof we reasonably ask for, we may count only the views we can verify from other sources.
13. Clipper Fees and payouts
How your fee is worked out
Your Clipper Fee for an approved Submission is the number of its Verified Views, divided by 1,000, multiplied by the Mission Rate shown when you accepted the Mission, subject to any caps and to the budget remaining. Each payout comes with a statement showing how it was calculated and any tax deducted.
Who pays you
We pay your Clipper Fee ourselves. Once we approve a Submission and count its Verified Views, our duty to pay you does not depend on any separate payment from the Brand to us.
How you are paid
- We pay by UPI, only to a UPI ID in your own name linked to a bank account in India in your own name. We will check that the name matches before the first payout.
- We do not pay to third parties, family members, or accounts outside India.
- If you give us wrong payout details, tell us immediately. We are not responsible for a payment sent to details you gave us, but we will help you try to trace it.
When you are paid
- We aim to pay within [payout timing] after the View Window for a Submission has ended and its review is complete. "Aim" means we will try hard to meet it, and we will tell you if a payout will be late and why.
- We send a payout once your approved balance reaches the Payout Threshold. Smaller balances carry forward.
- If you close your account, we will pay any approved balance on request, even if it is below the Payout Threshold, after any lawful deductions.
- We do not deduct any fee of our own from your payouts. Clippers never pay to join or to take part in a Mission.
Holds
We may hold the Clipper Fee for a particular Submission while we investigate a genuine concern under the Fair Play and Anti-Fraud Policy. We will tell you about the hold, and we aim to finish the review within [hold review period]. A hold applies only to the Submissions under review, not to your other approved fees.
14. Tax: TDS, PAN and GST
- Tax deduction at source. Where applicable Indian income-tax law requires it, we deduct tax at source from your Clipper Fees at the rate the law sets, deposit it with the government against your PAN and give you the certificate the law requires. You can then see the deduction in your annual tax statement on the income-tax portal.
- PAN. You must give us a valid PAN in your own name before your first payout. If your PAN is missing, invalid or inoperative, for example because it is not linked with Aadhaar as the law requires, the law may require a higher deduction, and we may hold payouts until it is fixed.
- Your income tax. Clipper Fees are your income. You are responsible for reporting them and paying any tax due beyond what we deduct.
- GST. You are responsible for deciding whether you must register for GST and for meeting your own GST duties. If you are registered, give us your GSTIN and issue tax invoices as the law requires. GST on Clipper Fees for registered Clippers: [GST on Clipper Fees].
- No tax advice. We cannot give you tax advice. If you are unsure, please speak to a chartered accountant.
15. No earnings guarantee
We do not promise that you will earn any particular amount, or anything at all. What you earn depends on whether your Clip is approved, how many Verified Views it gets, the Mission Rate, any caps and how much budget remains. Sample missions, sample payouts and example figures on our website are illustrations only, not a forecast of what you will earn. Please do not give up other income on the expectation of earnings from ClipMissions.
16. Corrections and clawback
Sometimes a problem only becomes clear after we have paid. This section explains what happens then, and the limits on what we can do.
- When we may recover money. If, within [clawback period] after a payout, we find that the Submission was not eligible because of fraud, artificial views, copied content, a missing disclosure, an early deletion or another serious breach of these terms, we may recover the amount paid for the affected views or Submission. We may also recover an overpayment caused by a calculation or system error.
- Only the affected amount. We will recover only what was paid for views or Submissions that were not eligible. This is the return of money that was not earned, not a penalty.
- Notice first. Before recovering anything, we will tell you in writing what we found, the amount and a summary of the evidence, and we will give you at least seven days to respond. We will consider your response before deciding.
- How we recover. We will first set off the amount against future Clipper Fees. If that is not enough, we may ask you to repay it within a reasonable time. We will correct any tax records as the law allows.
- Your right to appeal. You can appeal any recovery decision through the appeal route.
17. The licence you grant
You keep the copyright you have in your original creative contribution to a Clip, such as your edit, captions, graphics and voice. The Brand keeps its rights in its footage and other materials.
You grant us and the Brand for that Mission a non-exclusive, worldwide, royalty-free licence to view, link to, embed, record, reference and display your Clip and its public details, such as your handle, caption and view counts, in order to:
- review, verify, report on and administer the Mission;
- keep records, handle disputes and meet legal duties;
- for us, showcase the Clip on the ClipMissions website and in presentations about ClipMissions, with credit to your handle where practical; and
- for the Brand, include the Clip in its internal and campaign reports.
This licence does not let anyone repost your Clip on their own accounts, or use it in paid advertising. That is allowed only if the Mission Brief says so, sets out the terms and any extra fee, and you accept those terms when you take the Mission. After the Mission Term, you may ask us to stop showcasing your Clip. We will stop new showcase uses within a reasonable time, but we may keep it in our records.
You may show your posted Clip in your own portfolio once it is public, unless the Mission Brief says otherwise.
18. Moral rights and credit
Under section 57 of the Copyright Act 1957, authors have the right to claim authorship of their work and to object to distortion or modification that would harm their honour or reputation. You keep those rights. You agree that ordinary handling of your Clip, such as resizing, cropping a thumbnail, embedding it with a platform's interface, or adding a frame or caption that identifies it as part of a Mission, is not a distortion. We will credit your handle when we showcase your Clip, unless you ask us not to.
19. Your promises
You promise that:
- all information you give us is true, current and complete, and you are 18 or over;
- each Clip is your own work, and every element you added yourself is original to you or properly licensed;
- your Clips do not infringe anyone's copyright, trade mark, performer's rights, privacy or personality rights, except to the extent a problem comes from Brand Materials you used as supplied and as the brief allowed;
- your Clips follow the Mission Brief, our policies, the law and the rules of the platform you post on;
- every view on your Clips has been earned honestly, as our Fair Play and Anti-Fraud Policy requires; and
- you will not take part in a Mission for a brand you own, work for or are closely connected with, unless you tell us first and we agree.
20. Brand Materials and confidentiality
- We give you a limited, non-exclusive, non-transferable permission to use the Mission's materials only to make and post Clips for that Mission, during the Mission.
- Do not share the materials with anyone else, upload them anywhere other than in your Clip, or use them for any other purpose.
- Treat unreleased material, Mission Rates and any non-public information about a Brand as confidential. Do not post or share anything before an embargo date.
- When a Mission ends, stop making new Clips from its materials and delete the source files, except your own posted Clip and project files you need to keep for your records.
- Do not present yourself as an employee or representative of the Brand or of ClipMissions.
21. Suspension and ending
- You may stop using ClipMissions and close your account at any time. Your duties for Clips you have already submitted, such as keeping them live for the Minimum Live Period and acting on takedown requests, continue.
- We may suspend or end your participation if you seriously or repeatedly break these terms or our policies, or if we must do so by law. Our response will be proportionate to what happened, and for minor first-time problems we will usually warn you or reject a single Submission instead.
- Unless the law or an investigation prevents it, we will tell you the reason and how to appeal.
- If we end your participation, we will still pay Clipper Fees for approved Submissions that were not affected by the breach, after any lawful deductions.
22. Tax and statutory compliance
You must follow the laws that apply to your work, including advertising, consumer protection, copyright, information technology and tax laws, and the terms of the platforms you use.
India's Code on Social Security 2020 recognises gig workers and platform workers and provides for social security schemes for them. If that Code, or any scheme or rule made under it, applies to our relationship with you, we will meet our duties, which may include sharing your details with a government portal for registration. Doing so does not make you our employee or change the independent nature of this relationship.
23. Liability and indemnity
Our protection for you
If a third party makes a claim against you because a Clip you made used Brand Materials exactly as supplied and as the brief allowed, we will defend you, or pay for your reasonable defence, and cover any resulting damages you are ordered to pay or that we agree to pay in settlement. Tell us promptly about the claim, and do not settle it without our consent.
Your responsibility
You will compensate us for reasonable losses, costs and legal fees we incur because of a third-party claim or a regulatory action caused by your breach of these terms, for example using unlicensed music, adding unapproved claims, copying another creator's work or using artificial views. This applies only to the extent the loss was caused by your breach.
Limits
- Our total liability to you for a Mission is limited to the Clipper Fees payable for your Submissions in that Mission. This limit never reduces our duty to pay Clipper Fees that are due, or our protection for you above.
- Neither side is liable for indirect or consequential loss.
- No limit applies to fraud, wilful misconduct, death or personal injury caused by negligence, or anything else the law does not allow to be limited.
24. General
- Changes to these terms do not apply to a Mission you have already accepted, unless the law requires it.
- We may send notices to the email address in your account. You can contact us at [contact email].
- Disputes are dealt with under section 22 of the Terms of Use: our grievance process first, then arbitration by a sole arbitrator seated in Pune, in English, which may be held online. Any right you have as a consumer or under the IT Rules or data protection law to approach a public body is not affected.
