Brand Terms (Mission Services Terms)
1. About these terms
These Brand Terms apply when a business, creator or other person (a "Brand", or "you") buys a Mission from ClipMissions, operated by [Registered legal name] ("we" or "us"). They add to our Terms of Use, which also apply to you.
ClipMissions is not live yet. These terms describe how Missions will work once we start taking orders. No Mission can be bought today, and nothing on our website is an offer to supply one.
For each Mission, the contract between you and us is made up of, in this order of priority:
- the Mission Order, but only for its commercial terms (such as the Mission Budget, Mission Rate, Service Fee, dates, platforms, caps and any reposting rights);
- these Brand Terms;
- the Terms of Use; and
- our other policies, including the Content and Disclosure Guidelines, Fair Play and Anti-Fraud Policy, Refund and Cancellation Policy and Privacy Notice.
A Mission Order cannot permit a prohibited category of content or Mission, cannot remove or weaken any disclosure requirement, and cannot reduce the rights the Clipper Terms give to Clippers. Your own purchase order terms or standard conditions do not apply unless we expressly accept them in writing in the Mission Order.
2. Definitions
Words with capital letters have the meanings given in section 4 of the Terms of Use. In addition:
- Brand Materials: everything you supply for a Mission, including footage, audio, music, images, logos, trade marks, names, scripts, captions, claims, product information and the Mission Brief.
- Mission Term: the period from the date the Mission goes live until it closes under section 13.
- View Window: the period after a Submission is posted during which its views can count as Verified Views. It is set in the Mission Order or Mission Brief, and if neither sets it, it is [default view window].
- Minimum Live Period: the period for which a Clipper must keep an approved Submission public. It is set in the Mission Brief, and if not set, it is [default minimum live period].
- Clip: the short video a Clipper makes and posts for a Mission.
3. Who can buy a Mission
- You must be a business, or an individual aged 18 or over acting for a business or professional purpose, such as a creator promoting their own channel.
- The person who accepts a Mission Order must have authority to bind you.
- Before a Mission goes live, we may ask for details to verify you and invoice you correctly, such as your legal name, address, PAN, GSTIN, authorised contact and proof that you control the brand, channel or product being promoted. We may decline to proceed if we cannot verify you.
- Your products or services must be lawful to sell and advertise in India, and the Mission must not fall in a category listed in the Content and Disclosure Guidelines.
Our Services are intended for businesses that buy them for commercial purposes. If the Consumer Protection Act 2019 nevertheless treats you as a consumer, you keep every right that Act gives you.
4. Mission Orders
Every Mission is based on a written Mission Order agreed before the Mission goes live. The commercial terms of a Mission live in the Mission Order, not on our website. Prices and examples on our website, if any, are not offers.
A Mission Order will normally record:
- the parties and your billing details;
- the Mission Budget, the Mission Rate and the Service Fee;
- the Supported Platforms and languages for the Mission;
- the planned start date, any end date and any embargo on posting;
- the View Window, the Minimum Live Period and the view metric we will use on each platform;
- any caps, such as a limit on Verified Views per Clip or per Clipper;
- whether paid boosting of Clips is allowed (by default it is not);
- whether you may repost Clips or use them in paid advertising, and on what terms; and
- any special terms we have both agreed.
A Mission Order becomes binding when both sides accept it in writing, which can be by signature, by email or by clicking to accept in the Services. Changes to a Mission Order must also be in writing. If you want to add budget during a Mission, we will record it as an amendment.
5. What we do, and what we do not do
What we do
- review your Mission Brief and Brand Materials for obvious compliance problems before launch;
- publish the Mission to Clippers through the Services;
- engage Clippers, as independent contractors, to make and post original Clips;
- review each Submission for originality, disclosure, compliance with the brief and authenticity of views;
- count Verified Views and pay Clipper Fees ourselves;
- report to you on the Mission, as described in section 12; and
- handle takedown requests, complaints and grievances about the Mission.
What we do not do
- We do not guarantee any number of Clips, Submissions, views, Verified Views or any business result.
- We do not post on your accounts or buy advertising for you, unless a Mission Order specifically says so.
- We do not control the Supported Platforms or their algorithms, view counts or content decisions.
- Our review of your brief is a practical check, not legal advice. It does not replace your own legal and regulatory review, and it does not make us responsible for the truth of your claims.
6. Mission Brief and approval
You prepare the Mission Brief with our help. It should clearly state:
- what the Mission is about and what Clippers may and may not do with the footage;
- the approved claims Clippers may make in captions, titles and on-screen text, and any claims they must not make;
- any mandatory text or disclaimers that the law or a regulator requires for your product;
- the handle Clippers should tag as the brand partner, if any;
- the audio Clippers may use, if you supply any;
- topics, people or scenes that must not be featured; and
- any timing rules, such as a release date before which nothing may be posted.
We may suggest changes to make the brief clearer or compliant. You approve the final Mission Brief before the Mission goes live. Once live, changes to the brief apply only to Submissions made after Clippers are told about the change, unless the change is needed to fix a legal problem.
A Submission that meets the approved brief and our policies is eligible for payment. You may not reject a compliant Clip only because you would have edited it differently. If you want approval of each Clip before it is posted, that must be agreed in the Mission Order as a pre-approval step, with a fixed turnaround time.
7. Missions we will not accept
We may refuse any proposed Mission, or any part of a brief, before it goes live. We will not accept Missions in the categories listed as prohibited in the Content and Disclosure Guidelines. These include online money games, betting and gambling, investment advice or return claims for securities and other regulated investments, tobacco and alcohol including surrogate advertising, objectionable drug and remedy advertising, and political Missions of any kind.
Some categories need our prior written approval and extra safeguards, as listed in the guidelines. We may pause or end a live Mission if we reasonably conclude that continuing it would break the law, a platform rule or our policies. If we refuse a Mission after you have paid, or end it for a reason that is not your fault, we will refund you under the Refund and Cancellation Policy.
8. Your materials and the licence you grant
You keep ownership of your Brand Materials. You grant us a non-exclusive, worldwide, royalty-free licence, with the right to sub-license to Clippers engaged on the Mission, to:
- store, copy, review and share the Brand Materials with Clippers for the Mission;
- edit, cut, crop, reframe, caption, subtitle, translate and add approved audio and on-screen text to the Brand Materials, to make Clips that follow the brief;
- publish Clips on the Clippers' own accounts on the Supported Platforms named in the Mission Order, during the Mission Term; and
- keep those Clips published after the Mission Term, until you ask for them to be taken down under section 15.
We may also keep copies of Brand Materials and Clips for our records, to handle disputes, to meet legal duties and to verify views. We will not use your Brand Materials or name you as a customer in our own marketing, case studies or pitches without your written permission.
When the Mission closes, Clippers must stop making new Clips from your Brand Materials. Clips already posted may remain live as described in section 15.
9. Your promises about your materials
You promise that, for the whole Mission Term and for as long as Clips remain live:
- you own the Brand Materials, or have all licences and permissions needed to grant the licence in section 8, including for use by third-party Clippers on their own accounts in branded content;
- for any music or audio, you hold or have cleared the rights in both the sound recording and the underlying musical and literary works for this use, and any rights owed to performers;
- every person who appears, speaks or performs in the Brand Materials has given any consent needed for their image, voice, name and performance to be used in Clips, and no Brand Materials show a person in a way that breaches their privacy or personality rights;
- you own or are licensed to use any trade marks, logos and names in the Brand Materials;
- the Brand Materials are not defamatory, obscene or unlawful, and do not breach any court order, contract or confidentiality duty;
- any personal data in the Brand Materials was collected and is shared with us lawfully, including under the Digital Personal Data Protection Act 2023 once it applies; and
- your product or service, and the Mission, comply with every law and regulation that applies to them in India.
If any of these promises stops being true, you must tell us immediately so we can pause the Mission and protect Clippers.
10. Advertising claims and disclosure
You are the advertiser
Clips made for your Mission are advertisements for you. You remain responsible for your products and for the claims in your Brand Materials and Mission Brief, including under the Consumer Protection Act 2019, the Central Consumer Protection Authority's Guidelines for Prevention of Misleading Advertisements and Necessary Due Diligence for Endorsement of Advertisements 2022, the ASCI Code and any sector rules.
Claims must be true and backed by evidence
- Every objective claim in the brief must be truthful, not misleading, and supported by evidence you hold before the Mission goes live. You must share that evidence with us on request.
- Comparisons with competitors must be fair, factual and verifiable, and must not disparage them.
- Claims in regulated areas, such as health, food, cosmetics, education outcomes, finance or real estate, must follow the rules for that area, and you must supply any mandatory disclaimers or registration details the law requires in advertisements.
- You must not ask Clippers to say they have personally used or experienced your product unless that is true for the Clipper concerned.
Disclosure
Every Clip must be clearly disclosed as paid content, as our Content and Disclosure Guidelines require. You must not ask, encourage or reward any Clipper to hide, shrink, delay or remove a disclosure, or to present a Clip as independent opinion. If a Supported Platform requires the brand partner to approve or be tagged in branded content, you will take the steps needed on your side promptly.
Our checks
We may ask for changes to claims, remove claims from a brief or refuse a Mission if we think a claim is unsupported or risky. Our checks support your compliance but do not take it over.
11. Fees, invoicing and GST
What you pay
For each Mission you pay us:
- the Mission Budget, which is the prepaid service fee for campaign delivery. We apply it against Verified Views at the Mission Rate during the Mission; and
- the Service Fee, which is our fee for running the Mission, as agreed in writing in the Mission Order before the Mission goes live.
The Mission Budget and Service Fee are fees for a service that we supply to you. Clipper Fees are our own expense in delivering that service, and our duty to pay Clippers is ours alone. Your payment is not made to Clippers and is not held for them.
When you pay
Unless the Mission Order says otherwise, you pay the Mission Budget and Service Fee in full before the Mission goes live. A Mission does not go live until we have received cleared funds. Payments must come from a bank account or payment method in your own name or your business's name.
Invoices and GST
- All fees are exclusive of GST unless the Mission Order says otherwise. GST is added at the rate that applies on the date of supply.
- We will issue tax invoices that comply with GST law, showing our GSTIN, [GSTIN]. Give us your correct GSTIN and billing details if you want to claim input tax credit. We are not responsible for credit lost because of incorrect details you gave us.
- If we refund or credit any amount, we will issue the GST documents the law requires, such as a credit note.
Tax deducted at source
If the law requires you to deduct tax at source from your payment to us, you may do so, as long as you deposit it on time and give us the certificate the law requires. The amount deducted counts as paid once it appears against our PAN in the government records. Until then, the Mission Budget available is the amount we actually received, unless we agree otherwise in writing.
No hidden charges
You will not be charged anything that is not in the Mission Order or these terms. You will never be charged more than the Mission Budget, the Service Fee and applicable taxes for a Mission without your prior written agreement.
12. Verified Views, reporting and the review basis
How we verify
We count only views that pass our review under the Clipper Terms and the Fair Play and Anti-Fraud Policy. We check for originality, disclosure, compliance with the brief and signs of artificial or bought views. We use evidence such as platform insights screenshots or recordings provided by Clippers, public view counts, platform data where available and pattern checks, with manual review before any final decision.
What you are charged for
We apply the Mission Budget only against Verified Views of approved Submissions, at the Mission Rate, within any caps in the Mission Order. Views we reject are not charged to you.
Your right to see the basis
During and after the Mission, you may ask for a report showing, for each approved Submission, the Clipper's public handle, the post link, the Verified Views we counted, the date range and the type of evidence we relied on. You may also ask for a summary of rejected Submissions and the reasons by category. On reasonable request, we will show you the evidence behind a specific count, with personal details not needed for the purpose removed. We will not share Clippers' identity documents, PAN, bank or UPI details, or other personal data beyond what is needed to verify the Mission.
Challenges and corrections
If you believe a count is wrong, tell us within [brand challenge window] after the Mission closes, with your reasons. We will re-check it and explain the outcome. If we find, or you show us, that views we counted were not genuine or not eligible, we will credit the affected amount back to your Mission Budget or refund it, whether or not we recover it from the Clipper.
13. Budget, mission end and closing
- A Mission closes at the earliest of: the Mission Budget being fully applied against Verified Views; the end date in the Mission Order; or termination under section 22.
- We will try to close the Mission to new Submissions when the remaining budget is close to being used up, and we will tell Clippers when it closes.
- Views after the budget is used up are not charged to you. If we choose to pay any Clipper for views beyond the budget, for example to treat a Clipper fairly when a Mission closes quickly, we do so at our own cost and never charge you for it.
- You may add budget to a live Mission by a written amendment to the Mission Order.
- After the Mission closes, we finish reviewing Submissions made before the close, finalise the counts within the View Window rules, and then deal with any unspent Mission Budget under section 14.
14. Unspent budget and refunds
Any part of the Mission Budget not applied against Verified Views when the Mission is finalised is unspent budget. At your choice, we will refund it to you or keep it as a credit for a future Mission, under the Refund and Cancellation Policy. That policy also explains cancellations before and after a Mission goes live, how the Service Fee is treated, refund timelines and how credits work.
15. Takedowns, edits and the life of Clips
During the Mission and Minimum Live Period
Clippers must keep approved Clips live for the Minimum Live Period. During that period you may ask for a specific Clip to be removed or corrected only for a genuine legal, regulatory, safety or factual reason, such as a claim that turns out to be inaccurate or a rights problem with your own materials. We will ask the Clipper to act promptly. The Clipper will still be paid for Verified Views up to the time of removal, and those views are applied against your Mission Budget.
Copyright tools
You must not use copyright claims, content identification systems or similar tools against Clips that comply with the Mission, during the Mission Term or their Minimum Live Period. If your systems claim compliant Clips automatically, you will release those claims promptly when we ask. A Clip that is taken down because of such a claim is treated as removed at your request.
After the Mission
Once the Mission Term and the Minimum Live Period have ended, you may ask us in writing to have Clips taken down. We will pass the request to the Clippers concerned, who must remove the Clips within [takedown response period] under the Clipper Terms. We will tell you which Clips have been removed. We cannot control copies made by people outside ClipMissions, but we will help you use the platforms' own reporting tools where appropriate.
16. Reposting, whitelisting and paid advertising
Clips are posted on the Clippers' own accounts. You may share or link to a Clip as any member of the public can. Beyond that:
- you may repost a Clip on your own accounts, use it in paid advertising, or run it as a partnership or branded content ad through a Clipper's account only if the Mission Order allows it and the Clipper has accepted those terms in the Mission Brief;
- any extra fee for such use, its duration and the platforms covered must be stated in the Mission Order and the Mission Brief;
- when you repost, you must credit the Clipper's handle where the platform allows, must not edit the Clip in a way that changes its meaning, and must keep a clear advertising disclosure; and
- Clips used in paid advertising remain subject to all advertising laws, and you are responsible for that advertising.
17. Your relationship with Clippers
- Clippers are engaged by us as independent contractors. They are not your employees, agents or contractors under ClipMissions, and we are responsible for paying them.
- Please send instructions about a live Mission through us, so that every Clipper receives the same rules. You must not give Clippers instructions that conflict with the Mission Brief or our policies.
- You must treat Clippers with respect. Harassment, threats or pressure on Clippers are grounds for us to end a Mission.
- You are free to work with any creator directly outside ClipMissions. You must not use information from the Services to induce a Clipper to break the Clipper Terms during a live Mission.
18. Confidentiality
Each side will keep confidential the other's non-public business information received in connection with a Mission, use it only for the Mission and share it only with people who need it and are bound by similar duties. This does not apply to information that is public through no fault of the receiving side, was already known to it, is independently developed or must be disclosed by law.
The commercial terms of a Mission Order are confidential. Clippers will see the Mission Brief, the Mission Rate and any information needed to take part, and the Clipper Terms require them to keep unreleased Brand Materials confidential. If you share unreleased material, such as a song or film before its release date, tell us so we can set an embargo in the brief. We will enforce the Clipper Terms against any leak, but we are not liable for a Clipper's breach unless we failed to take reasonable steps.
19. Personal data
Each side is responsible for its own compliance with data protection law. We process Clippers' personal data as described in our Privacy Notice. We will share with you only what you need to understand and verify the Mission, mainly public handles, post links and view counts. You will use that information only for the Mission and your own internal reporting, keep it secure, and not use it to contact Clippers for unrelated marketing.
You are responsible for the personal data in your Brand Materials, including people who appear in your footage.
20. Indemnities
From you
You will compensate us for reasonable losses, costs and legal fees arising from a third-party claim, a regulatory action or a platform penalty that results from: your Brand Materials; a claim in your brief being false, misleading or unsubstantiated; your breach of section 9 or 10; or your products or services. This includes reasonable amounts we pay to Clippers to resolve claims against them that arise from your Brand Materials, if we have consulted you first where practical.
From us
We will compensate you for reasonable losses, costs and legal fees arising from a third-party claim that results from: our own software or content (not including your Brand Materials or Clippers' creative work) infringing someone's intellectual property; our failure to pay Clippers amounts due to them under the Clipper Terms; or our failure to meet our own tax or statutory duties as the party engaging Clippers.
How claims are handled
The side seeking compensation must tell the other promptly, give reasonable help, and not settle the claim without the other's consent, which must not be unreasonably withheld. The side giving the indemnity may take control of the defence. Each side must take reasonable steps to limit its loss.
21. Liability
- Our total liability to you for all claims under or in connection with a Mission is limited to the Service Fee you paid for that Mission.
- That limit is in addition to, and never reduces, our duty to refund or credit unspent Mission Budget and to correct counts under section 12.
- Your total liability to us under a Mission is limited to the amounts payable under the Mission Order, except for your payment obligations, your indemnity in section 20, your breach of section 9 or 10, and breach of confidentiality.
- Neither side is liable for indirect or consequential loss, or for loss of profit, revenue, goodwill or opportunity that does not flow directly from the breach.
- No limit in these terms applies to fraud, wilful misconduct, death or personal injury caused by negligence, or anything else that cannot be limited by law.
22. Term, suspension and termination
- These Brand Terms apply from the time you first accept a Mission Order until every Mission you bought has closed and been settled.
- You may cancel a Mission at any time by written notice. The financial effect is set out in the Refund and Cancellation Policy.
- Either side may end a Mission by written notice if the other materially breaches these terms and, where the breach can be fixed, does not fix it within a reasonable period stated in the notice of at least seven days.
- We may pause a Mission immediately, without first giving a cure period, if continuing it would break the law, a court or government order or a platform rule, or would expose Clippers to legal risk. We will tell you why and work with you to fix the issue so the Mission can resume where possible.
- When a Mission ends, we pay Clippers for Verified Views of approved Submissions up to the end, finalise the counts, and settle unspent budget under the Refund and Cancellation Policy. Licences for Clips already posted continue as described in sections 8 and 15.
23. General
- Subcontractors. We may use service providers, such as hosting, banking and payout providers, to deliver the Services. We remain responsible for our obligations to you.
- Anti-bribery. Neither side will offer or accept any bribe or improper payment in connection with a Mission.
- No exclusivity. Unless a Mission Order says otherwise, either side may work with others, including competitors.
- Brands outside India. If you are based outside India, we may agree separate terms covering currency, taxes and export rules in your Mission Order.
- Notices. Notices must be in writing and sent to the email addresses in the Mission Order, or to us at [contact email].
- Law and disputes. Section 22 of the Terms of Use applies: Indian law, our grievance process first, then arbitration by a sole arbitrator seated in Pune, in English, with the courts at Pune having exclusive jurisdiction subject to arbitration.
